1. Introduction and Acceptance
The CenterPoint Energy Marketplace (the "Marketplace" or "Site"), located at centerpointenergy.bitskits.net, is
serviced by Bits Smart Strip, LLC dba BITS Limited ("BITS," "we," "us")
These Terms and Conditions ("Terms") govern your access to and use of the Site and any purchase you make through it.
By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or place an order.
2. Eligibility
The Marketplace is available only to active residential customers of CenterPoint Energy located within CenterPoint Energy's Houston-area service territory in the State of Texas. To purchase from the Marketplace, you must:
- Be at least 18 years of age and able to form a binding contract;
- Be a current CenterPoint Energy customer of record, or an authorized member of that customer's household;
- Have a service and shipping address located within the CenterPoint Energy Houston-area service territory in Texas; and
- Install the products you purchase at that eligible service address.
We may ask you to verify your eligibility, including your CenterPoint Energy account information or service address, before or after an order is placed. We may cancel any order, without liability, if we cannot verify eligibility or if we determine that a purchaser is not eligible. Products may not be purchased for resale or for installation outside the eligible service territory.
3. Products, Pricing, and Orders
Products. The Marketplace offers energy- and water-saving products, such as advanced power strips, thermostats, lighting, air purifiers, and low-flow water fixtures, that qualify for CenterPoint Energy efficiency programs. Product images and descriptions are provided for convenience; actual products may vary slightly in appearance or packaging.
Program pricing. Sale prices shown on the Site reflect discounts made available through CenterPoint Energy efficiency programs and are offered only to eligible customers. Program pricing, product availability, and program terms may change or end at any time without notice. "Regular price" figures are reference prices only.
Quantity limits. We may limit the quantity of any product available per customer, household, account, or service address, and may cancel orders that exceed those limits.
Orders. Your order is an offer to purchase. We may accept, decline, or cancel any order, in whole or in part, including for suspected ineligibility, pricing or typographical errors, inventory unavailability, or suspected fraud. An order confirmation email does not constitute acceptance; acceptance occurs when the order ships. If we cancel an order after you have been charged, we will refund the amount charged.
Payment and taxes. Payment is due at the time of purchase through the payment methods offered at checkout. All prices are in U.S. dollars. Applicable Texas state and local sales taxes will be added at checkout.
4. Shipping and Delivery
We ship only to addresses located within CenterPoint Energy's Houston-area service territory in Texas. We do not ship to P.O. boxes, freight forwarders, or addresses outside that territory, and orders with ineligible shipping addresses will be canceled.
Shipping charges and estimated delivery times are shown at checkout. Delivery dates are estimates and are not guaranteed. Title and risk of loss pass to you when the products are delivered to the carrier. Please inspect your order upon arrival and report any missing, damaged, or incorrect items within 7 days of delivery.
5. Returns, Refunds, and Cancellations
Cancellations. You may request cancellation of an order by contacting us before it ships. Once an order has shipped, it cannot be canceled but may be returned as described below.
Returns. Unused products in their original, unopened packaging may be returned within 30 days of delivery for a refund of the purchase price paid. Products that have been opened, installed, or used may not be returned unless defective. Original shipping charges are non-refundable, and you are responsible for return shipping unless the item arrived damaged, defective, or incorrect.
Defective or damaged items. If a product arrives damaged or defective, contact us within 7 days of delivery. We will replace the item or issue a refund at our discretion. After that period, defects are handled under the manufacturer's warranty (see Section 6).
Refunds. Approved refunds are issued to the original payment method, typically within 5–10 business days after we receive and inspect the return. To start a return, contact us using the information in Section 8.
6. Warranties, Disclaimers, and Limitation of Liability
Manufacturer warranties. Products are covered only by the warranties, if any, provided by their manufacturers. Bits Limited does not manufacture the products and passes through any manufacturer warranty to you to the extent permitted.
Installation and savings. You are responsible for installing and using products safely and according to manufacturer instructions and applicable codes. Some products, such as thermostats, may require compatible equipment or professional installation. Any energy or water savings estimates are illustrative only; actual savings depend on your home, equipment, and usage and are not guaranteed.
Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND BITS LIMITED DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, BITS LIMITED AND CENTERPOINT ENERGY, AND THEIR RESPECTIVE AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THAT ORDER. Nothing in these Terms limits any rights you have that cannot be waived under applicable law, including the Texas Deceptive Trade Practices–Consumer Protection Act.
Indemnification. You agree to indemnify and hold harmless Bits Limited from claims arising out of your violation of these Terms, your misuse of the Site, or improper installation or use of products.
7. Program Relationship, Accounts, and Site Use
Relationship with CenterPoint Energy. The Marketplace is operated by Bits Limited, LLC in connection with CenterPoint Energy efficiency programs. Bits Limited is responsible for order processing, payment, fulfillment, shipping, returns, and customer service for Marketplace purchases. CenterPoint Energy is not the seller of the products. Questions about your CenterPoint Energy utility account or bill should be directed to CenterPoint Energy.
Accounts. You are responsible for providing accurate information and for keeping your login credentials confidential. You are responsible for activity that occurs under your account.
Acceptable use. You agree not to use the Site for any unlawful purpose; misrepresent your identity or eligibility; purchase products for resale; interfere with the Site's operation or security; or use automated tools to access, scrape, or place orders on the Site.
Intellectual property. All Site content, including text, graphics, and design, is owned by Bits Limited or its licensors. CenterPoint Energy names and logos are trademarks of CenterPoint Energy and are used with permission. Product names and logos belong to their respective owners. You may not copy or reuse Site content without written permission.
Privacy. Our collection and use of your personal information, including information used to verify your eligibility, is described in our Privacy Policy. By using the Site, you consent to the sharing of limited order and eligibility information with CenterPoint Energy as needed to administer its efficiency programs.
8. Governing Law, Changes, and Contact
Governing law and venue. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.
Informal resolution. Before filing any claim, you agree to contact us and try to resolve the dispute informally for at least 30 days.
Changes to these Terms. We may update these Terms at any time by posting the revised version on this page with a new "Last updated" date. Changes apply to orders placed after they are posted.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it.
